Terms of Service

Welcome to Craft Convert, a web application developed by Craft Projects (Pty) Ltd ("Craft Projects", "we", "us", or "our") to facilitate the migration of data to the Sage 300 People application. By using Craft Convert, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms or the Privacy Policy, please do not use Craft Convert.

1. Use of Craft Convert

Craft Convert is intended for use by authorized individuals or entities for the purpose of migrating data to the Sage 300 People application. You are responsible for ensuring that you have the necessary rights and permissions to use the data you process through Craft Convert.

2. Consultants and Third-Party Processors

If you are a consultant, service provider, or any other third party processing data on behalf of a company or organization, you must obtain written permission from that company or organization before using their data with Craft Convert. Craft Projects will not be held liable for any unauthorized use of data by third-party processors.

3. Intellectual Property Rights

Craft Convert and all its associated intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, are owned by Craft Projects. You may not copy, modify, distribute, or create derivative works based on Craft Convert or any part thereof without the express written consent of Craft Projects.

4. Limitation of Liability

Craft Projects shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of Craft Convert, including but not limited to damages for loss of profits, loss of data, or any other damages resulting from the use or inability to use Craft Convert.

5. Indemnification

You agree to indemnify, defend, and hold harmless Craft Projects and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of Craft Convert, your violation of these Terms, or your violation of any third-party rights, including but not limited to intellectual property rights.

6. Data Privacy and Security

Craft Convert processes personal and sensitive employee data during the migration process. We take reasonable measures to protect the confidentiality, integrity, and security of such data in accordance with our Privacy Policy. However, you acknowledge that no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee the absolute security of your data.

7. Prohibited Conduct

You agree not to use Craft Convert for any unlawful or prohibited purposes, including but not limited to:

Transmitting any harmful, illegal, or offensive content
Violating any applicable laws or regulations
Attempting to gain unauthorized access to Craft Convert or its related systems
Engaging in any activity that could disrupt or interfere with Craft Convert or its services

8. Modifications and Termination

We reserve the right to modify or terminate Craft Convert, or any portion thereof, at any time without prior notice. We may also terminate or suspend your access to Craft Convert if you violate these Terms or for any other reason at our sole discretion.

9. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in South Africa.

10. Updates to the Terms of Service

We reserve the right to modify or update these Terms of Service at any time. Any changes will be effective immediately upon posting the updated Terms on our website. Your continued use of Craft Convert after any such changes constitutes your acceptance of the new Terms of Service. We encourage you to review these Terms periodically for any updates.

11. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Craft Projects regarding your use of Craft Convert, and supersede any prior agreements or understandings, whether written or oral.

12. Severability

If any provision of these Terms of Service is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid, unlawful, or unenforceable provision shall be severed from these Terms.

13. Assignment

You may not assign or transfer your rights or obligations under these Terms of Service without our prior written consent. Craft Projects may assign or transfer its rights and obligations under these Terms at any time without your consent.

14. Use on Behalf of an Organization

If you are using Craft Convert on behalf of an organization or company that you are employed by or affiliated with (the "Organization"), you represent and warrant that you have the necessary authority to bind the Organization to these Terms of Service and our Privacy Policy. By using Craft Convert, you agree that the Organization will be bound by and comply with these Terms of Service and our Privacy Policy. You further agree to indemnify, defend, and hold harmless Craft Projects (Pty) Ltd and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of Craft Convert on behalf of the Organization, or any violation of these Terms of Service or our Privacy Policy by the Organization.

15. Limitation of Liability

In no event shall Craft Projects (Pty) Ltd or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services, loss of use, data, or profits, or business interruption) arising out of or in connection with these Terms of Service or the use or inability to use Craft Convert, even if advised of the possibility of such damages.

16. Indemnification

You agree to indemnify, defend, and hold harmless Craft Projects (Pty) Ltd and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of Craft Convert, your violation of these Terms of Service or our Privacy Policy, or your violation of any third-party rights, including but not limited to intellectual property rights.
